These Leader Terms apply to the Vemble Leader program (the "Program") and to anyone who applies to it or takes part in it. They add to our Terms of Service and Privacy Policy, which continue to apply to you. If these Leader Terms and the Terms of Service disagree about the Program, these Leader Terms apply.
The Program is run by Re. Universe Pte. Ltd. ("Vemble", "we", "us"). Leader bonuses are paid, and the tax on them is withheld and reported, by our Korean affiliate Filmplace Korea Co., Ltd. (주식회사 필름플레이스코리아).
Any Vemble member in good standing may apply. You may have one application open at a time. You can withdraw it at any time before it is reviewed.
To become a Leader you must also be an approved Vemble host. If you are not one yet, you can apply to host at the same time; we will not appoint you as a Leader until your host application has been approved.
We review every application ourselves and decide at our discretion. We are not required to accept an application or to give a detailed reason for declining one. If you are declined, you may apply again later.
The answers in your application must be true and your own.
A Leader hosts Vembles regularly and makes them good for the people who come. As a Leader you agree to:
While you are a Leader, Vemble pays you a bonus for each Vemble that qualifies. A Vemble qualifies when all of the following are true:
Your bonus amount is agreed individually between you and Vemble when you are appointed, and is set out in your Leader agreement with us. It may differ from one Leader to another. The two minimums are set by Vemble and shown in the Leader section of the app. We may change the minimums; we will change your bonus amount only with your agreement. A bonus that has already been awarded keeps the amount it was awarded at; a change applies to Vembles whose bonus has not yet been worked out. We will tell you in the app before a change takes effect.
We work out whether a Vemble qualifies once its check-in has closed, because the count can change until then. At most one bonus is paid per Vemble.
The bonus depends on real people being at a real Vemble. Every bonus is held for a review period before it can be paid. During that period, or afterwards if we discover it later, we may cancel (void) a bonus or recover one already paid if we reasonably believe:
We may also end your Leader term, and suspend or ban your account under the Terms of Service, for this kind of conduct.
Bonuses are added to your host earnings in the app and paid with your other host payouts, once a month, to the bank account in your payout details. To be paid you must complete your payout and tax details in the app. Bonuses earned while those details are missing are kept and paid once they are complete.
We withhold and report tax on your bonuses as Korean tax law requires, which depends on whether you are paid as an individual, a foreign resident or a business. If you are paid as a business, you issue us a tax invoice. You are responsible for any other tax you owe on your bonuses.
If we pay you more than you were owed, including a bonus later voided under section 5, we may deduct the difference from your future payouts or ask you to repay it.
As a Leader you are an independent member of the community who hosts Vembles — not an employee, agent, partner or representative of Vemble or Filmplace Korea Co., Ltd. Nothing in the Program creates an employment relationship. You decide whether and when to host, and nothing guarantees you any minimum number of bonuses or any income.
You may not make promises, sign agreements or take payments on Vemble's behalf. You may describe yourself as a "Vemble Leader" while you are one, but you may not otherwise use the Vemble name or logo without our written permission.
As a host you can see some information about your guests. Use it only to run the Vemble you are hosting. Do not copy it, contact guests outside Vemble for commercial purposes, or recruit them into other paid groups, businesses or events.
You can stop being a Leader at any time by telling us at hello@vemble.co or through Help & Support in the app. We may end your Leader term at any time, for example if you stop hosting, if guests raise concerns, if you break these Leader Terms or the Terms of Service, or if we change or close the Program. Where we can, we will tell you why.
When your term ends, Vembles that started while you were a Leader still qualify, and bonuses you have already earned are still paid — except bonuses voided under section 5.
We use the answers in your application, and our record of when you agreed to these Leader Terms and which version you agreed to, to review your application and run the Program. We keep them while your account exists. Payout and tax records are kept for as long as Korean tax law requires, as described in the Privacy Policy.
We may update these Leader Terms. If we make a material change, we will tell you in the app before it takes effect, and we may ask you to agree to the updated version to stay in the Program. If you do not agree, you can end your Leader term under section 9.
These Leader Terms are governed by the laws of the Republic of Korea. Nothing in them limits any right you have under mandatory law.
